The Client grants the Agency a non-exclusive, royalty-free license to use and display the materials created for the Client for promotional purposes only.
Both parties agree to maintain the confidentiality of any sensitive or proprietary information disclosed during the course of this Agreement.
Either party may terminate this Advertising Agency Agreement with written notice of (number of days) days if the other party breaches any material term of the Agreement or for any other lawful reason. In the event of termination, the Client shall pay for all Services performed until the effective termination date.
This Agreement shall be governed by and construed in accordance with the laws of (State/County). Any disputes arising from or related to this Agreement shall be resolved through mediation or, if necessary, arbitration.
This Agreement constitutes the Entire Agreement between the Parties and supersedes any prior understandings or agreements, whether written or verbal, relating to the Services.
